Please use each logo data upon agreeing to the following guidelines.
Cloud Ace Brand Guidelines
These guidelines set forth the terms and conditions between you and us regarding the use of the branded assets provided by Cloud Ace, Inc.
You may use Cloud Ace's brand assets only if you agree to these guidelines.
Article 1 (Brand Assets)
1. In these guidelines, "Brand Assets" means various service names, logotypes, designs, photo data, etc. provided by Cloud Ace.
2. All rights (including but not limited to intellectual property rights such as copyrights and trademarks) related to Brand Assets belong to Cloud Ace (except for portrait rights related to photo data of a person, which belong to the person who is the subject of the photo).
Your agreement to these Guidelines does not transfer any rights to you.
Article 2 (Use of Brand Assets)
1. You may use the Brand Assets only for the purpose of introducing the products and services provided by Cloud Ace (hereinafter referred to as "the Purpose").
You may not use the Branded Assets for any purpose other than the Purpose without the prior written consent of Cloud Ace.
2. You must use the Brand Assets in compliance with these Guidelines and the "Cloud Ace Logo Guidelines.
Article 3 (Prohibited Acts)
1. You may not engage in any of the following acts when using Brand Assets
(1)Transforming, processing, altering, or adapting Brand Assets without the prior written consent of Cloud Ace.
(2)Use the Brand Assets as part of your or another company's product name, service name, trademark, logo, company name, etc.
(3)Use the Brand Assets in a manner that may cause confusion with the products, services, etc. of the User or other companies.
(4)Renting, transferring, or sublicensing the Brand Assets to a third party.
(5)register brand assets as trademarks
(6) Use the Brand Asset to insult Cloud Ace (or the person who is the subject of the photo data in the case of photo data of a person), to defame or discredit Cloud Ace, or to otherwise damage the reputation of Cloud Ace.
(7) Use the Brand Assets in a manner that violates these Guidelines.
(8)Using Brand Assets in any other way that Cloud Ace deems inappropriate in its discretion, such as illegal activities. 2. In the event of any of the prohibited activities listed in the preceding paragraph, Cloud Ace may request that you stop using Brand Assets, in which case you must immediately stop using Brand Assets. In this case, you must immediately stop using the Brand Assets.
Article 4 (Disclaimer)
Cloud Ace makes no warranty, express or implied, with respect to Brand Assets, including but not limited to the fitness for a particular purpose, non-infringement of third party rights, or any other matters.
2. Cloud Ace shall not be liable for any damages incurred by users arising from the use of Brand Assets.
3. Cloud Ace reserves the right to terminate the use of Brand Assets, or to change the scope or method of use of Brand Assets at its sole discretion.
Article 5 (Modification of these Guidelines)
Cloud Ace may modify these Guidelines at any time without prior notice to users when Cloud Ace deems it necessary to do so.
The amended Guidelines shall take effect from the time they are posted on the Cloud Ace website.
Continued use of Cloud Ace brand assets by users after the effective date of these guidelines will be deemed to constitute acceptance of the revised guidelines.
Article 6 (Governing Law and Jurisdiction)
1. The laws of Japan shall govern all legal matters related to these Guidelines.
2. The Tokyo District Court shall have exclusive jurisdiction in the first instance over any and all disputes related to these Guidelines.
Article 7 (Good Faith Consultation)
Any matter not stipulated in these Guidelines or any question arising from the interpretation of these Guidelines shall be settled upon consultation between the User and Cloud Ace.
